Terms of Service — RustGrid

Important. RustGrid can let agents read repositories, run commands, change files, and publish branches or pull requests. You control permissions and policies and remain responsible for reviewing output before it is merged, deployed, or relied on.

Agreement, eligibility, and authority

These Terms of Service (“Terms”) are between the person or organization using the Service (“Customer,” “you,” or “your”) and the RustGrid service operator identified on the applicable checkout, invoice, order form, or enterprise agreement (“RustGrid,” “we,” “us,” or “our”). They apply to RustGrid websites, applications, APIs, agent-control-plane features, distributed workers, and related services (the “Service”).

By creating an account, accepting these Terms, starting a paid plan, using an API key, installing a worker, connecting an integration, or using the Service, you accept them. If you act for an organization, you confirm authority to bind it. You must be at least 18 or the age of legal majority.

A signed order, DPA, or other written agreement may add to or override these Terms. Purchase-order terms do not apply unless RustGrid expressly signs them.

The Service and changes

RustGrid provides API-native workflow and autonomous software-delivery coordination, including tenants, projects, tickets or missions, attachments, roles, API keys, webhooks, GitHub integration, workers, execution manifests, telemetry, quality gates, pull-request lifecycle, usage, and billing.

RustGrid may improve, add, remove, or change features. We will not materially reduce a paid Service during a current committed order term without a reasonable operational or security reason, unless the order says otherwise. Beta, preview, free, and experimental features may change or end at any time. Health and status indicators are not an SLA; an SLA must be signed.

Accounts, credentials, and administrators

Provide accurate account and billing information and keep it current.
Protect sessions, API keys, worker credentials, webhook secrets, OAuth connections, and other credentials; scope them to minimum access and rotate them after suspected exposure.
You are responsible for account activity except to the extent caused by RustGrid’s breach of these Terms.
Customer administrators control memberships, roles, projects, integrations, plans, and Customer Data; their authenticated instructions are Customer instructions.
Report suspected unauthorized access promptly to security@rustgrid.com.

Deactivation ends normal access but does not automatically erase Customer Data, billing records, or legally retained records.

Customer Data, instructions, and permissions

“Customer Data” is data submitted by or for Customer, including workflow records, attachments, repositories, mission prompts, configuration, command output, and personal data. As between the parties, Customer retains its rights in Customer Data.

Customer grants RustGrid and its subprocessors a limited, non-exclusive right to host, copy, transmit, transform, display, and process Customer Data only to provide, secure, support, and maintain the Service; comply with law; and follow documented Customer instructions.

Customer represents it has the rights, notices, consents, and lawful bases needed for Customer Data. Do not submit specially regulated data unless a signed agreement covers it and the deployment supports it. RustGrid may use aggregate or de-identified measurements that do not identify Customer or a person for capacity, security, reliability, and improvement.

Agent execution and human review

Depending on configuration, an agent can read missions and source; create a workspace; use a model provider; run tools, commands, and network requests; modify files; test; commit; open or update pull requests; read GitHub state; and report telemetry.

You authorize actions allowed by the permissions, manifest, repository rules, worker configuration, and approvals you select. You are responsible for repositories, scopes, models, tools, commands, network policy, required checks, merge rules, and approvers.

Agent and model output can be incomplete, incorrect, insecure, infringing, or unsuitable. Qualified human review and appropriate testing are required before output is merged, deployed, disclosed, or relied on. RustGrid does not promise completion, test success, defect detection, compatibility, license compliance, or a business result.

No sandbox makes untrusted code risk-free. Local execution, unsupported hosts, customer tools, network access, and self-hosted storage remain operator responsibilities. Failed workspaces can temporarily retain proprietary source for recovery and must be protected and cleaned up.

Third-party services and open source

The Service can interoperate with GitHub, Stripe, OAuth and model providers such as OpenAI, webhook destinations, registries, and customer-selected tools (“Third-Party Services”). Their terms, privacy practices, availability, and fees apply. By enabling one, Customer instructs RustGrid to exchange the data needed within granted permissions and is responsible for its accounts and authorization. Disconnecting stops future access but may not delete records already created in either service. Third-party and open-source licenses control their covered components.

Acceptable use

You must not, or help others to:

use the Service for unlawful, fraudulent, deceptive, abusive, or infringing activity;
access a tenant, repository, account, system, or data without authorization or beyond granted permission;
upload or distribute malware, steal credentials, evade security, exploit systems without authorization, or cause material harm;
probe RustGrid systems without written authorization, except under a published safe harbor;
bypass limits, authentication, authorization, tenant isolation, approvals, usage measurement, or safety controls;
interfere with or overload the Service, or create unreasonable legal, security, or operational risk;
resell the standalone Service without an order, or reverse engineer non-public portions except where non-waivable law permits; or
use it for safety-critical control where failure could cause death, serious injury, or severe physical or environmental damage.

Security research must follow responsible-disclosure instructions.

Shared security responsibilities

RustGrid maintains safeguards described on the Security page. Customer is responsible for least privilege; repository and branch protection; checks; worker hosts, images, networks, storage, backups, credentials, and cleanup; webhook destinations; dependencies; endpoints; and user devices.

Marketing, health endpoints, diagrams, and sandboxes are not proof of certification, universal isolation, residency, deletion deadlines, or regulatory compliance. Obtain required evidence and written terms before regulated or availability-critical use.

Plans, usage, fees, and subscriptions

Plans may limit users, projects, missions, API keys, requests, webhooks, attachments, storage, runs, model usage, concurrency, audit availability, support, or other resources. RustGrid may reject, throttle, queue, or stop excess activity.

Prices, interval, included usage, and recurring terms appear at checkout or in an order. Starting a paid plan authorizes RustGrid and Stripe to charge the selected method for disclosed recurring fees, metered usage, taxes, and charges. Subscriptions renew until canceled. Upgrades may be immediate with disclosed proration; downgrades and cancellations may take effect at period end, as shown before confirmation.

Except where law or a signed order requires otherwise, paid fees are non-refundable and obligations are non-cancelable for a period already started. Customer is responsible for taxes other than taxes on RustGrid’s net income. Overdue undisputed amounts may result in suspension after reasonable notice.

Intellectual property, output, and feedback

RustGrid and licensors retain rights in the Service, documentation, designs, marks, and technology, excluding Customer Data and third-party components. Subject to these Terms and fees, Customer receives a limited, non-exclusive, non-transferable right during the subscription to use the Service internally.

As between Customer and RustGrid, RustGrid claims no ownership of code or output generated specifically from Customer Data for Customer. Ownership and use can be affected by law, source materials, provider terms, open-source licenses, and third-party rights; Customer must check them.

Voluntary feedback may be used perpetually, worldwide, and royalty-free without obligation, but RustGrid will not identify Customer publicly without permission. RustGrid marks require published brand guidance or written permission.

Confidentiality

Each party will use the other’s non-public confidential information only for the agreement and protect it with reasonable care. Disclosure is limited to personnel, contractors, and advisers who need it and must protect it. Information lawfully known without restriction, independently developed, lawfully received, or public without breach is excluded. Legally compelled disclosure is allowed with advance notice when permitted and reasonable cooperation.

Privacy and data processing

The Privacy Policy explains processing. When RustGrid is Customer’s processor, the applicable DPA controls. Customer is responsible for its notices, lawful instructions, data-subject requests, retention, and configured recipients.

Suspension, termination, and effect

Customer may stop use and cancel as described in billing or an order. RustGrid may suspend when reasonably necessary for security, unlawful use, material breach, risk, non-payment, or law, with notice and a chance to cure where practical.

Either party may terminate a material breach not cured within 30 days after notice, or immediately if incurable. RustGrid may end a free account or discontinued free feature on reasonable notice. On termination, access ends and amounts are due. Export needed data beforehand. RustGrid may delete Customer Data after a reasonable period, subject to privacy, backups, law, and signed orders. Provisions that should survive do survive.

Limited warranty and disclaimers

For a paid Service, RustGrid warrants professional and workmanlike delivery substantially according to current documentation. The exclusive remedy is commercially reasonable correction; if correction is not possible, Customer may terminate the affected Service and receive a prorated refund of prepaid fees for the unused terminated period.

Otherwise, to the maximum extent allowed, the Service, free features, previews, agents, output, documentation, and integrations are “as is” and “as available.” RustGrid disclaims implied warranties of merchantability, fitness, title, non-infringement, accuracy, and uninterrupted or error-free operation. RustGrid does not warrant output is correct, secure, complete, original, production-ready, or that checks detect every issue.

Limitation of liability

To the maximum extent permitted, neither party is liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or lost profit, revenue, goodwill, savings, or business interruption, even if advised of the possibility.

Each party’s aggregate liability relating to the Service or Terms will not exceed fees paid or owed for the Service during the 12 months before the event. For a free Service, RustGrid’s aggregate liability will not exceed EUR 100.

The exclusions and cap do not apply where unlawful, or to Customer payment obligations, infringement of RustGrid intellectual property, breach of acceptable use, or indemnity obligations. Non-waivable rights remain.

Customer indemnity

Where permitted, Customer will defend and indemnify RustGrid and personnel against third-party claims, damages, and reasonable costs arising from Customer Data; unlawful or unauthorized use of the Service, agents, output, or integrations; or breach of Sections 4–7. RustGrid will promptly notify Customer, allow control of defense and settlement, and reasonably cooperate at Customer’s expense. A settlement may not admit RustGrid fault or impose obligations without consent.

General terms

Law and venue. A signed order controls. Otherwise, law and competent courts at the RustGrid contracting entity’s principal place of business apply, without conflict-of-law rules, subject to mandatory rights.
Notices. RustGrid may use account email, the Service, or a posted update. Legal notices to RustGrid go to hello@rustgrid.com and are effective when receipt is confirmed.
Assignment. Neither party may assign without consent except to an affiliate or with a merger, reorganization, or substantially all relevant assets if obligations are assumed.
Force majeure. Neither party is liable for delay beyond reasonable control, except payment.
Export. Customer must follow applicable export-control and sanctions laws.
Relationship. The parties are independent contractors; no partnership, agency, fiduciary, employment, or franchise is created.
Severability and waiver. An unenforceable term is limited as necessary; the rest remains. Failure to enforce is not waiver.
Entire agreement. These Terms, Privacy Policy, orders, and signed addenda replace prior discussions about the Service.

RustGrid may update these Terms. Material changes will be communicated reasonably before effect where required. Continued use afterward accepts them unless a signed order says otherwise.
